By accessing, registering for, or using the SheenQaaf platform, website, services, and related applications (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our Services. Your continued use of our Services constitutes acceptance of these Terms and any updates made to them.

2. Description of Services

SheenQaaf provides an AI-powered platform for automating customer support on messaging channels including WhatsApp and Instagram. Our Services include:

  • AI chatbot creation and management
  • Integration with WhatsApp Business and Instagram messaging platforms
  • Knowledge base management and training
  • Automated customer response generation
  • Analytics and performance tracking
  • Customer support and maintenance services

We reserve the right to modify, suspend, or discontinue any Service or feature with reasonable notice (minimum 30 days for paid features).

3. Eligibility and Account Creation

3.1 User Eligibility

To use SheenQaaf Services, you must:

  • Be at least 18 years of age (or the age of legal majority in your jurisdiction)
  • Have the legal authority to enter into binding agreements
  • Be a business entity, entrepreneur, or representative authorized to act on behalf of an organization
  • Have a valid email address and contact information
  • Comply with all applicable laws and regulations in your jurisdiction

3.2 Account Registration

You are responsible for:

  • Providing accurate, complete, and current information during registration
  • Maintaining the confidentiality of your account credentials
  • Accepting responsibility for all activities under your account
  • Notifying us immediately of any unauthorized access or security breaches
  • Keeping your password secure and not sharing it with others

SheenQaaf reserves the right to refuse, suspend, or terminate accounts at our discretion if information is inaccurate or incomplete.

4. Acceptable Use Policy

4.1 Prohibited Uses

You strictly agree NOT to use SheenQaaf for any of the following purposes:

  • Spam or Harassment: Sending unsolicited messages, promotional content, or any form of harassment to customers.
  • Illegal Activities: Using our platform for any illegal, fraudulent, or malicious purposes.
  • Scams or Deception: Misleading customers, fraudulent transactions, phishing, or identity theft.
  • Abuse of Platform Policies: Violating Meta (WhatsApp/Instagram) policies or terms of service.
  • Automated Abuse: Bulk messaging, automated spam, or circumventing platform rate limits.
  • Intellectual Property Violations: Using copyrighted content, trademarks, or proprietary information without authorization.
  • Malware or Viruses: Uploading or distributing harmful code, malware, or viruses.
  • Privacy Violations: Collecting, using, or sharing customer data without proper consent.
  • Hate Speech or Discrimination: Generating or promoting hateful, discriminatory, or offensive content.
  • Data Manipulation: Attempting to access, modify, or delete unauthorized data.

4.2 Platform Compliance

You agree to comply with:

  • All Meta (WhatsApp and Instagram) platform policies, terms of service, and community guidelines
  • All applicable local, state, national, and international laws and regulations
  • All data protection and privacy laws (GDPR, CCPA, etc.) in your jurisdiction and customers' jurisdictions
  • All anti-spam legislation and regulations

4.3 Customer Consent

You are solely responsible for obtaining and maintaining proper customer consent before using SheenQaaf to communicate with customers. You warrant that:

  • All customers have opted-in to receive communications from you
  • You have disclosed your use of automated systems and AI chatbots to customers
  • You have provided clear opt-out mechanisms for customers who no longer wish to receive messages

5. User Responsibilities

You agree to:

  • Accurate Information: Maintain accurate account information and update it as necessary
  • Lawful Use: Use the Services only for lawful purposes and in compliance with these Terms
  • Knowledge Base Quality: Ensure your knowledge base contains accurate, up-to-date, and non-misleading information
  • Monitoring: Regularly monitor your chatbot responses and customer interactions
  • Escalation: Implement procedures to escalate complex issues to human support staff
  • Prohibited Content: Not upload or use content that is illegal, defamatory, offensive, or infringing
  • Security: Implement reasonable security measures to protect your account and API credentials
  • Notifications: Respond to compliance or security notifications from SheenQaaf promptly

6. Intellectual Property Rights

6.1 SheenQaaf Intellectual Property

The SheenQaaf platform, software, website, branding, and all original content are the exclusive property of SheenQaaf or our licensors. You are granted a limited, non-exclusive, revocable license to use our Services in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works from our platform
  • Reverse engineer, decompile, or disassemble our software
  • Rent, lease, or resell access to our Services
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our platform to build competing services

6.2 Your Content

You retain ownership of all content you upload to SheenQaaf (knowledge base, documents, images). By uploading content, you grant us a worldwide, royalty-free license to use, store, process, and analyze your content solely to provide and improve our Services.

7. Service Availability and Limitations

7.1 Service Level

We strive to maintain high availability and reliability. However, we do not guarantee uninterrupted or error-free service. We may experience downtime for maintenance, updates, or unforeseen technical issues.

7.2 Maintenance and Updates

We may perform scheduled or emergency maintenance on our platform. We will provide reasonable notice (minimum 24 hours) for scheduled maintenance except in cases of emergency or security issues.

7.3 Technical Limitations

Our Services are subject to technical limitations including message delivery delays, processing times, and integration limitations. You acknowledge these limitations and will not hold SheenQaaf liable for delays or failures beyond our reasonable control.

8. Payment Terms

8.1 Pricing and Fees

SheenQaaf services may be offered on a free or paid basis as described on our website. Fees are displayed clearly before purchase. Pricing is subject to change with 30 days' notice.

8.2 Billing

  • Billing occurs on the date specified in your subscription plan
  • Failed payments may result in service suspension
  • You are responsible for maintaining current payment information
  • Refunds are subject to our refund policy

8.3 Taxes

Fees are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for all taxes applicable to your jurisdiction. We will collect and remit taxes as required by law.

9. Suspension and Termination

9.1 Termination by User

You may terminate your account and cease using our Services at any time by contacting support@sheenqaaf.com. Upon termination, you lose access to your account and associated data.

9.2 Suspension/Termination by SheenQaaf

We may immediately suspend or terminate your account without notice if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in illegal, fraudulent, or harmful activities
  • You repeatedly violate Meta platform policies
  • Your account is used for spam or abuse
  • You fail to pay subscription fees after 30-day notice
  • We reasonably believe your account poses a security or legal risk

9.3 Effect of Termination

Upon termination:

  • Your account is deactivated and access to Services ceases
  • You remain liable for unpaid fees and outstanding obligations
  • Provisions regarding liability, indemnification, and intellectual property survive termination
  • Data retention follows our Data Retention Policy as outlined in our Privacy Policy

10. Limitation of Liability

10.1 Disclaimer

THE SHEENQAAF PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEENQAAF SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, lost revenue, or lost data
  • Business interruption or loss of opportunity
  • Customer dissatisfaction or loss of customers

OUR TOTAL LIABILITY IN ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (USD), WHICHEVER IS GREATER.

10.3 Exceptions

These limitations do not apply to:

  • Death or personal injury caused by our negligence
  • Our gross negligence or willful misconduct
  • Liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless SheenQaaf and our officers, employees, agents, and successors from any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms or applicable laws
  • Your content or knowledge base materials
  • Your interactions with customers or third parties
  • Intellectual property infringement claims related to your content
  • Your violation of platform policies or regulations

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

Before initiating legal proceedings, you agree to attempt resolution through:

  1. Good-faith negotiation between you and SheenQaaf (30 days)

12.3 Class Action Waiver

You and SheenQaaf agree that any dispute shall be brought in your individual capacity, not as plaintiff or class member in a class, consolidated, or representative action.

You acknowledge that SheenQaaf operates globally and complies with applicable laws in each jurisdiction. You are solely responsible for ensuring your use of our Services complies with:

  • Telecommunications regulations
  • Data protection and privacy laws (GDPR, CCPA, etc.)
  • Anti-spam legislation (CAN-SPAM, GDPR requirements, etc.)
  • Platform terms of service (Meta, WhatsApp, Instagram)
  • Local business and consumer protection laws

14. Third-Party Integrations

SheenQaaf integrates with third-party services including Meta's platforms (WhatsApp, Instagram). You agree to:

  • Comply with each platform's terms of service
  • Accept responsibility for your interactions with third-party platforms
  • Not hold SheenQaaf liable for third-party service disruptions or policy changes
  • Understand that SheenQaaf does not control third-party platforms

15. Modifications to Terms

SheenQaaf reserves the right to modify these Terms at any time. Changes become effective when posted on our website. For material changes, we will provide at least 30 days' notice. Your continued use of our Services after changes constitute acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, removed. The remaining provisions remain in full effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SheenQaaf regarding the use of our Services and supersede all prior agreements and understandings.
